Mesilla Valley Arabian Horse Association

“Proposed By-Laws”


Mission

To encourage interest in Arabian horses, to promote and manage exhibits, shows and other equine events for the education and appreciation of Arabian horses, and to encourage ownership and enjoyment of Arabian horses.

Membership shall be by invitation only. Any member may bring a person or persons interested in joining the Association to a meeting to meet the members of the organization.

Article I. Membership

Section 1. New Member Procedure

The members of the Association will have the opportunity to vote on the acceptance of all new members. This may be done at a regular meeting or by phone or by email. To be a member of this organization, individuals must also be a member of the Arabian Horse Association...

Section 2. Youth Members

Persons under the age of eighteen are not eligible to vote and shall be considered Youth Members. Any person under the age of eighteen wishing to join the Association must have a parent or guardian co-sign the membership application before becoming a member.

Section 3. Dues

The amount of annual membership dues will be voted on by a majority vote of the membership. Dues are due and payable at the same date as that of each member’s AHA dues renewal date.

Section 4. Conduct

Any member, who conducts themselves in such a manner as to be an offense to the Association or to cause disunity among members of the Association, may be expelled from Association by a majority vote. Upon termination of membership of an expelled member, the member whose membership is terminated shall have no interest in the property of the Association.

Article II. Meetings

Meeting location and time will be determined at prior meetings and the entire membership shall be notified, by phone, or by electronic means. Meetings may be postponed by the president as a result of emergencies. Meetings of the Association shall be held within the geographical area commonly referred to as the Mesilla Valley.

Article III. Officers

The officers of the Association shall consist of President, Vice-President, Secretary, and Treasurer. These officers shall be elected annually, no later than June 30th. The regular term of each officer shall be one year and shall commence on July 1st. Elected officers may serve for as many terms as the membership desires. A vacancy occurring in office shall be filled by an election at the following meeting, with the exception of the President, which shall be filled by the Vice-President at which time the Vice-Presidency shall be filled by an election of the Association.

President

The President shall be the chief executive officer of MVAHA and shall preside at all meetings. He or she shall see that the By-Laws, Rules, and Regulations of the Association are enforced and shall perform all other duties that may be prescribed from time to time by the Association. The President, or his/her designated appointee, is to attend regularly regional and national meeting as is possible.

Vice-President

The Vice-President, in the absence of the President, shall have the power and shall perform the duties of the President, and have such other duties as may be prescribed by the Association.

Secretary

The Secretary shall keep the permanent records of the Association, and the minutes of all its meetings, which shall be handed out or read at the beginning of the subsequent meeting. He or she shall keep accurate membership records in conjunction with the membership chairman, and shall handle all the administrative correspondence for the club, including notices of meetings, rule changes, and any other duties as assigned by the president.

Treasurer

The Treasurer shall receive all monies for the Association and shall cause to be deposited to the bank account of the Association. Disbursements shall be made by check upon itemized demands authorized by the President or the Treasurer. An accurate record of all receipts and disbursements shall be kept. A reporting of such records shall be submitted upon request by the President no less than once a year.

Director-at-Large

A director at large is tho be elected to complete the executive commity. The Director-at-Large is to be responaible to oversee the annual audit of finacial records which is to be completed with in 30 days of the end of each physical year.

If more than one officer position is filled by the same person then a director-at-large shall be elected once the association achieves a membership of over 30 members.

Article V. Hold Harmless Clause

The Association shall not be held responsible for any injury to either persons or animals or for damages to personal property at any Association gathering.

Article IV. By-Law Revision

These by-laws may be revised as requested by the president, as requested by a majority vote of the board of directors or as requested by a majority vote of the membership at large.
